The author characterizes the current responses as TQM (more of the same, only better) or reengineering (transformation). To respond adequately to the reality and complexities of a global economy, the author argues that approaches to both corporate governance and boards are in need of reengineering. Directions for board transformation are illustrated with a new framework based on the orientation and constitution of boards.
